These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Houd ("Houd", "we", "us", "our"), governing your access to and use of the website platform available at houd.ai and all associated services (collectively, the "Service"). By creating an account or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
We reserve the right to amend these Terms at any time. Material changes will be communicated by email to the address associated with your account no less than 14 days before taking effect. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the revised Terms. If you object to any change, your sole remedy is to cancel your subscription and cease using the Service before the change takes effect.
Houd provides a website creation, management, and publishing platform. The Service includes a visual editor, content management tools, hosting infrastructure delivered via Cloudflare's global network, custom domain connectivity, built-in SEO tooling, and access to templates and design components. The specific features available to you depend on your subscription plan.
We will use commercially reasonable efforts to maintain Service availability. We do not guarantee any specific uptime level unless expressly stated in a separate service level agreement. Planned maintenance will be communicated in advance where reasonably practicable. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, provided that material reductions in core functionality will be communicated with reasonable notice.
To use the Service, you must be at least 16 years of age. If you are using the Service on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your password or permit third parties to access your account without authorisation. You are liable for all activity that occurs under your account, whether or not authorised. You must notify us immediately at legal@houd.ai if you suspect unauthorised access. We are not responsible for losses arising from your failure to secure your credentials.
You agree to provide accurate, current, and complete information when registering and to keep that information up to date. We reserve the right to suspend or terminate accounts found to have been created with false or misleading information.
You may use the Service solely for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you must not use the Service to:
We reserve the right to remove any content and to suspend or terminate accounts that violate this section, immediately and without prior notice where the violation is serious, or with reasonable notice for lesser infractions. Suspension or termination does not limit any other remedies available to us.
Access to the Service is contingent on payment of the applicable subscription fees. Fees are set out on our pricing page and confirmed at checkout. All amounts are stated exclusive of applicable taxes, which you are responsible for paying.
Your content. You retain all ownership rights in the content, images, text, data, and other materials you upload or create through the Service ("User Content"). By using the Service, you grant Houd a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, and distribute your User Content solely to the extent necessary to provide and improve the Service. This licence terminates when you delete your User Content or close your account, subject to any backup or retention obligations under applicable law.
No AI training. We do not use your User Content to train machine learning or artificial intelligence models, and we will not do so without your explicit written consent.
Our platform. All intellectual property rights in the Houd software, platform, design, algorithms, and technology (excluding User Content) vest in and remain with Houd. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely as contemplated by these Terms. You must not copy, modify, decompile, reverse-engineer, disassemble, or create derivative works of any part of the Houd platform.
Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free licence to use that feedback for any purpose without obligation to you.
Your site's source files are yours. You may download them at any time from your account settings. If your subscription lapses or is terminated for any reason other than a violation of these Terms, your files remain available for download for 90 days following the end of your final billing period, after which they may be permanently deleted. Source files exported from Houd are compatible with any platform that supports static site hosting.
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be free of errors, vulnerabilities, or interruptions, or that any specific results will be achieved through its use.
Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under mandatory applicable law, including statutory consumer rights.
To the maximum extent permitted by applicable law, Houd, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of, or inability to use, the Service — including but not limited to loss of revenue, loss of profits, loss of data, loss of goodwill, or business interruption — even if we have been advised of the possibility of such damages.
Our aggregate liability to you for all claims arising from or related to these Terms or your use of the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total subscription fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
These limitations apply to the fullest extent permitted by law and reflect a fair allocation of risk. If you are a consumer in a jurisdiction that does not allow the exclusion or limitation of implied warranties or consequential damages, the above limitations apply only to the extent permitted in your jurisdiction.
You agree to indemnify, defend, and hold harmless Houd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any applicable law or third-party right; or (d) any claim that your User Content caused harm to a third party. We reserve the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate with us in asserting available defences.
You may close your account at any time. We may suspend or terminate your account and access to the Service immediately and without liability if: (a) you breach any provision of these Terms; (b) we are required to do so by law or court order; or (c) continued provision of the Service becomes commercially or technically impractical. Where we initiate termination for reasons other than your breach, we will give you at least 60 days' written notice and ensure your site files are available for download during that period.
On termination, your right to use the Service ceases immediately. Sections 6, 8, 9, 10, 12, and 13 of these Terms survive termination.
Neither party shall be liable for any delay or failure in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, governmental action, internet or infrastructure outages, or failures of third-party service providers. The affected party will notify the other promptly and use reasonable efforts to resume performance.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer resident in the European Union, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence, and you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Houd with respect to the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
